Terms of Use

By accessing or using Eagmark Agri-Hub ("the Platform"), including our website at eagmark.net and our mobile applications, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Platform. You must be at least 18 years old to create an account and use the Platform. By registering, you represent that you meet this age requirement.

Eagmark Agri-Hub is an agricultural technology platform that provides AI-powered farming tools, educational courses, farm decision support, a marketplace, a job and projects board, verified directories of agro dealers and farmer groups, a monitoring-and-evaluation (M&E) suite for organizations, and a set of enterprise solutions (distribution intelligence, produce sourcing, voucher and subsidy programs, market intelligence, training reports, field-force hiring, and credit passports). The Platform is available on the web and as native iOS and Android apps. The Platform offers both free and paid tiers. Free users receive limited access to AI tools and courses. Paid subscribers gain access to additional features, unlimited AI tools, all courses, and bonus tokens as described in the applicable subscription plan. Certain features are paid per use with tokens (see Section 3) or require an active subscription tier (e.g. the M&E suite).

Eagmark offers auto-renewable subscription plans (Pro Farmer, Agribusiness, Enterprise) available on monthly and annual billing cycles. Apple In-App Purchase (iOS): - Payment is charged to your Apple ID at confirmation of purchase. - Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. - Your account will be charged for renewal within 24 hours prior to the end of the current period at the subscription rate. - You can manage and cancel your subscriptions by going to your Account Settings on the App Store after purchase. - No cancellation of the current subscription is allowed during the active subscription period. Web and Android Payments: - Payments are processed through Stripe, Paystack, or M-Pesa depending on your region and preference. - Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date. - You may cancel your subscription at any time through your account settings. Token Purchases: - Tokens are consumable digital credits used to access AI-powered tools and other paid features on a pay-per-use basis. - Tokens are also used to unlock farmer-group contact details, purchase directory-list export access, buy Pulse Pro market intelligence, and fund voucher and subsidy programs. Prices are set by Eagmark or the relevant administrator and shown before you confirm. - Token purchases are non-refundable once credited to your account. Tokens spent on a completed unlock, export, or redemption are non-refundable. - Unused tokens do not expire. Voucher & Subsidy Programs: Organizations may fund voucher programs from their token balance and issue single-use codes to beneficiaries. Redeeming a valid code credits tokens to the recipient's wallet exactly once. A program owner may cancel a program to reclaim unredeemed tokens; redeemed vouchers are unaffected. Dealer Cash-Out: Accounts operating a live agro-dealer listing may request to convert accumulated tokens to cash at the rate Eagmark sets, settled by Eagmark to M-Pesa or bank after review. Requests may be rejected (tokens are refunded) where the request cannot be verified. Enterprise Purchases: Cash purchases such as API-verification quota upgrades are processed through Stripe or Paystack and are non-refundable once fulfilled. Refund Policy: - Refund requests for subscriptions must be made within 14 days of the initial purchase. - For Apple In-App Purchases, refunds are handled by Apple. You must request a refund through Apple's support at https://reportaproblem.apple.com. - For web/Android payments, contact support@eagmark.net to request a refund.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: - Provide accurate and complete registration information. - Keep your password secure and not share it with others. - Notify us immediately of any unauthorized use of your account. - Not create multiple accounts for the purpose of abusing promotions or free tier allowances. We reserve the right to suspend or terminate accounts that violate these terms.

All content on the Platform, including but not limited to text, graphics, logos, AI-generated outputs, course materials, and software, is the property of Eagmark Agri-Hub Limited or its content creators and is protected by intellectual property laws. AI-Generated Content: Outputs from our AI tools (diagnostics, recommendations, analysis) are provided for informational purposes only. You may use AI outputs for your personal farming decisions but may not redistribute them commercially without permission. User Content: By posting content on the Platform (marketplace listings, community posts, course reviews), you grant Eagmark a non-exclusive, royalty-free license to display and distribute that content within the Platform. Community Creator Content: Course creators retain ownership of their content but grant Eagmark a license to host and distribute it through the Platform per the Creator Agreement.

AI Tool Disclaimer: The AI-powered tools on this Platform (crop diagnostics, pest identification, livestock diagnostics, weather insights, etc.) provide recommendations based on the information you provide and are intended for informational purposes only. They do not replace professional agricultural advice, veterinary consultation, or soil laboratory testing. Eagmark Agri-Hub Limited is not liable for any crop losses, livestock health issues, or financial losses resulting from actions taken based on AI-generated recommendations. Service Availability: We strive to maintain continuous service availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Marketplace: Eagmark acts as a platform connecting buyers and sellers. We do not guarantee the quality, safety, or legality of products listed on the marketplace. Transactions are between the buyer and seller.

The agro-dealer and farmer-group directories list businesses and cooperatives to help you find and reach them. Farmer-group contact details and exact locations are paid, consent-based fields; public listings show only approximate locations. Before you unlock a group's contacts or download a directory list, you must agree to the Data Use Terms. In summary, you may use unlocked contacts and downloaded lists only for legitimate agricultural purposes (partnership, sourcing, extension, research); you may not resell, republish, or share them outside your organization; you must not send bulk unsolicited marketing, must respect each listing's contact preference, and must handle contacts lawfully under the Kenya Data Protection Act, 2019. Access is licensed to your account and is not transferable. Data is provided as-is as of the verification date shown, with no warranty. Eagmark may revoke access for breach, and records who unlocks or exports what. Businesses may claim or submit directory listings; submissions are reviewed before going live and must be accurate.

Where your organization uses the M&E suite, your organization is the data controller of the beneficiary and programme data it collects, and Eagmark is the data processor, processing it only on your instructions. A Data Processing Agreement is available to generate and sign from Organization Settings. Your organization can export all of its data at any time, self-serve, and can delete all of its data on demand (with a deletion certificate issued). You are responsible for collecting personal data of beneficiaries lawfully, including any required consent. See our Privacy Policy and eagmark.net/security for details. Credit Passports: A farmer may generate a consented, verifiable snapshot of their platform track record to share with a lender or insurer, and may revoke it at any time. Verifiers may check a passport through the public link or a metered API key; API keys are subject to usage quotas and may be revoked for misuse.

You agree not to: - Use the Platform for any unlawful purpose. - Upload malicious content, viruses, or harmful code. - Attempt to gain unauthorized access to other users' accounts or Platform systems. - Scrape, crawl, or use automated tools to extract data from the Platform without permission. - Post false, misleading, or fraudulent content on the marketplace or community. - Abuse the AI tools by submitting non-agricultural or inappropriate content. - Circumvent subscription restrictions, token costs, or usage quotas. - Resell, republish, or share unlocked contacts or exported directory lists in breach of the Data Use Terms. - Send bulk unsolicited messages to directory contacts, or ignore a listing's contact preference or an opt-out request. - Generate a Credit Passport for anyone but yourself, or misuse a verification API key. - Harass, bully, or threaten other users in community spaces.

We may update these Terms of Use from time to time. When we make material changes, we will notify you through the Platform or via email. Your continued use of the Platform after changes are posted constitutes your acceptance of the updated terms. We recommend reviewing these terms periodically to stay informed of any updates.

These Terms of Use are governed by and construed in accordance with the laws of Kenya. Any disputes arising from or related to these terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
